Working Interests for Sale

Sale of working interests of Suncoast Technical Services, Inc. which includes:

1. The oil, gas and mineral lease set forth, identified and described on Exhibit "A" attached hereto and made a part hereof for all purposes (the "Lease") including all working interests, net revenue interests overriding royalty interests, back-in rights and other interests in the Lease owned by Assignor, together with any amendments, ratifications, extensions and confirmation of the Lease and all of Assignor's right, title and interest in any pooled, communized or unitized acreage derived by virtue of Assignor's ownership of the Lease;
2. The oil and gas well described on Exhibit "A" attached hereto and made a part of for all purposes (the "Well") which is located upon lands covered by the Lease or on lands with which the Lease has been pooled or unitized;
3. The improvements, easements, surface leases, permits, licenses, options, servitudes, rights-of-way and other interests appertaining to the Well or Lease and held for use in connection v/ith the exploration, development or operation of the Lease (all such improvements, easements, surface leases, permits, licenses, servitudes, rights-of-way and other interests are referred to in this Agreement as the "Surface Leases/Rights of Way");
4. All personal and moveable property (except automotive equipment or motor vehicles) directly related to and located at the Well or Lease or the lands pooled therewith, including, but not limited to, (i) all wells, Christmas trees, fixtures, casing and tubing, (ii) all production, gathering, treating, processing, compression, dehydration, salt water disposal, injection equipment and facilities and all pipelines and other transportation equipment and facilities, (iii) all tanks, machines, equipment, tools, dies, vessels and other facilities, including liquids plants, (iv) all other personal property of any nature whatever used with and located on the Well or Lease or on lands pooled or unitized therewith, and (v) all licenses, leases, easements, permits and rights-of-way, related, appurtenant or incident to the Lease and its operation (all such properties are referred to in this Agreement as the "Related Facilities"); and
5. All contracts, commitments, agreements, arrangements and documents (other than leases), insofar and only insofar as such are appurtenant or relate to either the Related Facilities, the Lease or the production from the Well or Lease or the production attributable thereto, including without limitation, any and all joint operating agreements, oil, casinghead gas and gas sales, purchase, exchange and processing contracts and agreements (all such rights, duties and obligations are referred to in this Agreement as the "Contracts").
