Partnership Interests and Account Receivable for Sale

Sale of Business Interests and Account Receivable, described as below:

(i) Business Interests:

• 1.5% interest in Old Humboldt Road Associates, a Tennessee limited partnership. The assets of this LP consist of approximately 13 acres located at the intersection of Hwy 45 and Old Humboldt Road, Jackson, Madison County, Tennessee, Map 33, Parcel 055.04;
• 2.96% interest in Cumberland Park Associates, a Tennessee limited partnership. The assets of this LP consist of a receivable owed to the partnership by the Old Country Store;
• 2.6% interest in 1-40 Associates, a Tennessee limited partnership. The assets of this LP consist of approximately 3.3 acres located at Hwy 45 Bypass, Jackson, Madison County, Tennessee, Map 055, Parcel 065.07; and

(ii) Account Receivable: An Account Receivable (hereinafter “Receivable”) owed to the seller as the result of the seller's prior loan to Jasper Bond, with an outstanding balance of Three Thousand Eighty and No/100 Dollars ($3,080.00).
