Intellectual Property of Software Company

Sale of intellectual property of Bishop Peak Technology, Inc. ("Seller"), which include certain intellectual property, software code, and books and records (the “Assets”), specifically the following and as more fully set out below:

• All remaining Intellectual Property assets of the seller to the extent they are in possession or control of the Trustee as follows;
• Trademarks, together with all of the goodwill associated therewith;
• Common law copyrights;
• Domain names, together with all of the goodwill associated therewith;
• Any Social media, contracts and/or hosting accounts (to the extent transferrable by the social media or host provider);
• Trade secrets, including without limitation, a complete copy of the source code, marketing materials, and customer lists;
• Any rights remaining with respect to the website of Bishop Peak Technology, Inc.; and
• Certain books and records of the Debtor to the extent they are in possession or control of the Trustee and except as needed by the Trustee to administer the Estate.
