1. Seller’s patent, USPTO Serial Number 9970725
2. Seller’s trademark in Identilock, USPTO Serial Number 86772472
3. All of Seller’s general intangibles including the URL http://www.getidentilock.com.
4. All of Seller’s inventory subject to any possessory security interests asserted by Seller’s creditor JVIS USA, LLC. (“Inventory”).
5. All of Seller’s contracts and pending orders for the sale of any items of Inventory.
6. A copy of customer lists, records, referral sources and financial records relating to the Business.
7. All records and lists, that pertain directly or indirectly, in whole or in part, to any one or more of the following: Seller’s customers, suppliers, advertising, promotional materials, sales, services, delivery, internal organization, employees and/or operations of the Business.
8. The right to use the name “Identilock” and any variations of such name in connection with the Business.
9. All goodwill used in connection with the Business.
10. All of Seller’s assets and rights in connection with the Business other than the Excluded Assets.
11. The accounts receivable and cash.
