Intellectual Property of Oil and Gas Company

Sale of intellectual property assets of Dynamo Micropower Corporation (“Seller”), related to hybrid gas turbine control system, including the Patents and the License, and more described as below:

• The patents, publications, and /or applications recorded or filed with the United States Patent and Trademark Office (“USPTO”) and/or other patent offices, including with respect to (i) Gas Turbine Heater and Dual Fuel Gas Turbine Engine, (ii) Micro Gas Turbine Systems and Uses Thereof, and (iii) Control of Fuel Flow for Power Generation Based on DC Link Level, are summarized in Exhibit C on the attached PDF (the “Patents”); and
• Pursuant to the License Agreement with Innoveering, the seller is granted a license for any newly developed technology and invention, whether or not patented, relating to a certain Combustor Module as set forth in the License Agreement (the “License”).
