Intellectual Property and Equipment for Sale

Sale of assets of Freight Shuttle International, LLC which includes
Intellectual Property:

1. any and all books and records of the Seller;
2. any and all of the intellectual property and proprietary and technical information of the Seller, including, without limitation, trade names (registered and unregistered, including the name “Freight Shuttle International”), trade secrets, patents and patent rights, patent applications, service marks (registered and unregistered), trademarks (registered and unregistered), trademark and service mark registrations and applications, customer and supplier lists, price lists, advertising and promotional materials, sale training materials, field performance data, research materials, royalty rights, copyrights, other proprietary intangibles, computer software and programs, computer software source codes, computer software modifications and improvements, databases, websites, domains, website and domain content, website URLs, process, technical know-how, business know-how, drawings, plats, surveys, designs, plans, engineering and manufacturing specifications, engineering work product, technology, inventions, processes, methods, formulas, procedures, and operating and quality control manuals and data relating to the business of the Seller. The Estate’s ability to capitalize upon the Intellectual Property is restricted by the fact that such property rights are subject to superior intellectual property rights of TAMU.

Equipment:

1. A Prototype rail car which is still present at the facility formerly operated by the Debtor at 1643 Crosswind Dr., Bryan, Texas 77808
2. A 1500 v DC Power Supply manufactured by Neeltran, Model # 3UNRAD15C10C-12P used specifically for running the Freight Shuttle System
