Cyber Insurance Policy for Sale

Sale of all rights and claims under the insurance policies and/or against CFC, both contractual and extracontractual (the “Assets”). Without limiting the generality of the foregoing, the Assets include the following rights: (1) to continue to assert the claim of the seller, Trustee and/or Estate for reimbursement and/or payment under the Cyber Policy, (2) to assert any new or additional claims not already tendered under the Cyber Policy, (3) to collect under the Cyber Policy, and (4) to assert any bad faith claim or cause of action that the debtor, the Trustee and/or the Estate may have with respect to the insurer’s failure to pay under the Cyber Policy or other breach of the insurer’s duty of good faith and fair dealing.

The Trustee acting for and as Posiba, Inc., (the named insured under CFC Underwriting, Ltd. (“CFC”) Tech (Insurance for Technology Companies) Package Policy No. ESF00233252 (1/13/17 – 1/13/18) and any proceeding policies and subsequent renewals providing the same or similar coverage (the Cyber Policy).
