Assets of Oil and Gas Offshore Production Company

Sale of assets of Bennu Oil & Gas, LLC and Bennu Holdings, LLC (the “Seller”), which includes:

The sellers oil and gas leases (collectively, the “Offshore Assets”) was somewhat limited due to various concerns, including, but not limited to, the location of the leases relative to the available platforms and/or pipelines necessary to get production to market and the decommissioning liabilities associated with the leases. Included among the Offshore Assets was Bennu’s interests in that certain Oil and Gas Lease of Submerged Lands under the Outer Continental Shelf Lands Act dated effective May 1, 1993, bearing Serial No. OCS-G 13928, between the United States of America, as Lessor, and Falcon South Power, Inc., as Lessee, covering all of Block 30, South Timbalier Area, as shown on OCS Leasing Map, Louisiana Map No. 6, containing approximately 5000 acres (the “ST 30 Lease”).
