Sale of commencing going out of business sales (collectively, the “Store Closing Sale”) of Things Remembered, Inc., company operate retail store locations identified in Exhibits “A”, “B” and “C” from Page No. 74-83 on the attached PDF (each individually a “Store,” and collectively the “Stores”) by means of a “store closing,” “sale on everything,” “going out of business,” “everything must go,” or similar sale (the “Sale”).

The Sale assets also include (a) manage the Store Closings; (b) sell store inventory, including all goods, saleable in the ordinary course, located in the Closing Stores on the Sale Commencement Date (as defined herein) or delivered thereto after the Sale Commencement Date (the "Merchandise"); (c) sell owned furnishings, trade fixtures, equipment and improvements to real property that are located in the Closing Stores and Fulfillment and Distribution Center on the commencement of the Sales and which have not been identified to the Consultant by the Debtors as items lhat may not be sold (the "Offered FF&E"); (d) sell Option Merchandise (as defined herein); (e) sell Non-Inventory (as defined herein) ((b)-(e), the "store Closure Assets"); and (Ð otherwise prepare the Closing Stores for turnover to the applicable landlords.

As a multi-channel retailer, the company offer their merchandise through their catalog, their e-commerce website, and approximately 400 stores in shopping malls throughout the United States and Canada. The company are headquartered in Highland Heights, Ohio and currently emplo y approximately 2,700 non-seasonal employees.
