Auction Sale of substantially all of assets of the 950 Meat & Grocery Inc. ("Seller"). The seller operates a retail supermarket business at its place of business located at 946-956 Market Street, Patterson, New Jersey 07513-1131 (the “Premises”). The sale including all of the assets, properties and rights of every kind and nature, whether real, personal or mixed, tangible or intangible (including goodwill), wherever located and whether now existing or hereafter acquired (other than the Excluded Assets as may be defined in a Purchase Agreement), which relate to, or are used or held for use in connection with, the Business, including, without limitation; (a) all inventory, goods, packaging, supplies, parts and other inventories; (b) all Assumed Contracts (as defined in the Purchase Agreement); (c) all equipment and intellectual property; (d) all goodwill and the going concern value of the Business.
