Home Medical Equipment Services Business in Texas

Sale of substantially all of assets of the Summit HME, Inc., including but not limited to:

• Accounts Receivable, Cash and Cash Balances; and Bank Accounts: All of the Seller’s rights, title and interest in: (1) all of the accounts receivable of the Business, including but not limited to those accounts receivable set forth on the Schedule of Accounts Receivable Data attached hereto as Exhibit 1-A1; (2) all of the cash and cash balances of the Business (including petty cash), including but not limited to that cash and those cash balances as set forth on the Schedule of Cash Accounts and Cash Balances attached hereto as Exhibit 1-A2; and (3) the bank accounts of the business in which such cash and cash balances are held and/or the proceeds of such Accounts Receivable are deposited, as more particularly described on Exhibit 1-A2 (the “Bank Accounts”);
• Tangible Assets: All of the Seller’s rights, title and interest in all of the personal property, inventory and fixed assets, contracts, franchise agreements (if any), permits (to the extent transferable), machinery and equipment (including leased equipment under any operating leases), office equipment, computer equipment and software, and furniture, furnishings and fixtures of the Business described on the Schedule of Equipment and Other Tangible Assets attached hereto as Exhibit 1-B, which Seller represents and warrants also includes all of the equipment on patients and at patients’ homes and includes inventory not on patients and not at patients’ homes which is located at the Seller’s locations including storage/warehouse locations;
• Motor Vehicles: All of the motor vehicles of the Business, including but not limited to those set forth on the Schedule of Motor Vehicles attached hereto as Exhibit 1-C; and
• Other Assets: All of the Seller’s rights, title and interest in: (1) all of the intangible assets, telephone numbers and telefax numbers of the Business listed on the Schedule of Intangible Assets attached hereto as Exhibit 1-D1; (2) the Patients’ List of the Business attached hereto as Exhibit 1-D2; (3) all of the Seller’s prepaid assets and non-bank deposits of the Business; and (4) all other assets of any kind utilized by Seller in the Business, whether in existence as of the Closing Date or acquired or on hand at any time thereafter, including but not limited to all other assets owned by Seller.
