Assets of Texas Metal Fabrication Business

Sale of all assets of Gulfex Holdings LLC which includes:

1. All Assumed Contracts, including the Real Estate Leases;
2. All tangible personal property located at the Facilities, including raw materials, inventory, fixed assets, leasehold improvements, vehicles, equipment, furniture, furnishings, tools, computers (desktop and laptop), printers, owned computer programs, estate interests (if any) in licensed software, product catalogs, advertising materials, stationery, purchase order forms, and sale order Forms ;
3. All prepaid expenses, prepaid rents, prepaid insurance, utility deposits and deposits on contractual obligations set forth on Schedule 2.1(b);
4. Assignable Permits used or held for use in the Business;
5. All files, books and records of Seller relating to the Business (but excluding the Retained Records), all as the same exist on the Closing Date;
6. All rights under non-disclosure, confidentiality or similar agreements entered into with third parties, if any, in connection with the sale of the Business or any part of the Business;
7. All rights, claims, causes of action and credits owned by Seller (on behalf of the Seller’s estate) to the extent relating to any Purchased Asset or Assumed Liability, including warranty or insurance claims regarding the Purchased Assets, but excluding accounts receivable related to the Business;
8. All warranties, guarantees and similar rights related to the Purchased Assets, including warranties and guarantees made by suppliers, manufacturers and contractors under the Purchased Assets, and claims against suppliers and other third parties in connection with the Assumed Contracts;
9. The ASME Code Stamp, including all related documents that allow a vessel to be properly code-stamped;
10. All Purchased Intellectual Property;
11. All rights and relationships with vendors, suppliers, and customers of Seller; and
12. All domain names, social media accounts, keys to the Facility, and telephone numbers used in the operation of the Business.
