Assets of Texas Assisted Living Facility

Sale of all assets of Romans House, LLC and Healthcore System Management, LLC which includes:

1. the parcel of land described in Exhibit A attached hereto (the “Land”), together with
   (i) the Facility and all other improvements located thereon (“Improvements”),
   (ii) all rights, benefits, privileges, easements, tenements, and appurtenances thereon or in anywise appertaining thereto, and
   (iii) without warranty, all right, title, and interest of Sellers, if any, in and to any land lying in the bed of any street, road or alley, open or proposed, adjoining such Land; and
2. all tangible and intangible personal property owned by Sellers and used in connection with the ownership and/or operation of the Properties.
