Assets of Software Company

Sale of all of Thomas F. White’s (“White”) right, title and interest in and to iQuantifi, Inc., a Delaware corporation (“iQuantifi”), including but not limited to:

• All shares of issued and outstanding capital stock of iQuantifi held by White, constituting a 90% ownership interest in iQuantifi, and any and all options and other rights to purchase any additional shares of capital stock of iQuantifi, whether to be purchased from iQuantifi or from other stockholders of iQuantifi pursuant to a shareholder agreement or other agreement;
• Any and all assets, whether tangible or intangible, relating to the business or operations of iQuantifi that are owned by White or held in White’s name;
• Any and all indebtedness owed to White from iQuantifi; and
• Any and all security interests or other liens in iQuantifi or its assets held by White.
