Assets of Security Cameras Manufacturing Business

Sale of assets of Intelligent Surveillance Corporation (the “Seller”), which includes:

• The operations, parts, equipment, products, designs, intellectual property, and technologies with respect to remote intelligence surveillance sensor technology and other businesses engaged in by the Debtor, including as specifically identified in the APA;
• Certain assumed contracts;
• All licenses, franchises, permits, certificates, approvals and authorizations from governmental bodies necessary for operation and ownership of the acquired assets;
• Any prepayments or good faith or other deposits by customers for unfulfilled orders;
• All books and records of the business;
• All recoveries from insurance policies related solely to the acquired assets and any rights to assert claims seeking any such recoveries related solely to the acquired assets; and
• Any adequate assurance deposits posted in accordance with section 366 of the Bankruptcy Code.
