Assets of Plumbing Services Providing Company

Sale of assets of K & D Industrial Services Holding Co., Inc., includes:

1. all vehicles and equipment listed on Exhibit A of the CCI Purchase Agreement, including all spare parts, hoses, pumps, tools and accessories related thereto (the “Equipment”);
2. all warranties or guaranties, if any, applicable to the Purchased Assets, to the extent such warranties or guaranties are assignable in connection with the Purchased Assets (the “Warranties”); and
3. the contracts listed on Exhibit B of the CCI Purchase Agreement, (the “Contracts”) provided, however, that any Receivables earned from and/or any work in process associated with any of the assigned Contracts prior to the Closing date shall belong to the Sellers. CCI shall have the right to exclude any Contract from Exhibit B of the CCI Purchase Agreement by giving notice to the Sellers and the counterparty to such contract three (3) business days prior to the Closing.
