Assets of New York Auto Parts Store

Sale of assets of SOMS Technologies LLC includes:

1. All accounts receivable of or attributable exclusively to the Included Business Lines (less any refunds, rebates, charge backs, discounts or other offsets therefrom in the ordinary course of business consistent with the Seller’s past practice);
2. All inventory, finished goods, raw materials, work in progress, packaging, supplies, parts and other inventories of the Included Business Lines;
3. All furniture, fixtures, equipment, supplies and other tangible personal property used exclusively in connection with the Included Business Lines;
4. All prepaid expenses, credits, advance payments, security, deposits, charges, sums and fees to the extent related exclusively to the Included Business Lines;
5. Designs that have been created and used solely in connection with the electric vehicle charger business;
6. Originals, or where not available, copies, of books and records to the extent related exclusively to the Included Business Lines; and
7. The right to pursue one avoidance action (to the extent such avoidance action is not already waived).
