Assets of Internet Service Provider Business

Sale of assets of Valnet Holdings, LLC, a/k/a TelXP, LLC (the “Seller”), which includes:

All Valnet and TelXP assets, except the Excluded Property identified on Exhibit D, including but not limited to their ISP business, equipment, tools, inventory, wire, coax/cable, fiber and associated materials, including everything at the locations listed on Exhibit A and Exhibit B on or at towers, structures and poles, and located underground, at micro POP locations, and at all customer locations, all of which allow services to be provided, and all servers, computers, data center racks and networking equipment;
All Valnet and TelXP ISP network, including usernames and passwords; all customers and customer lists, agreements and leases/service agreements, usernames and passwords, and customer DID numbers for VoIP; and all wireless, fiber and coax/cable subscribers and equipment; and customer billing platform, including all information necessary to continue to process customer billing and payments, including customer information, customer payment authorizations, customer tokens, electronic check and credit card data, and billing history.
