Description

Sale of substantially all of assets of California-Nevada Methodist Homes (the “Seller”). Seller owns and operates two separate continuing care retirement communities, in Oakland, California and Pacific Grove, California, both of which provide for residential living, assisted living, and skilled nursing levels of care. Seller owns, among other assets, the following four parcels of improved real property (the “Real Property Assets”):

  • The CNMH Corporate Office Building located at 201 19th Street, Oakland. CA 94612 (the “Corporate Office”);
  • Lake Park, a continuing care retirement community including residential living, assisted living, and skilled nursing facilities located at 1850 Alice St., Oakland. CA 94612 (“Lake Park”);
  • Forest Hill, a continuing care retirement community including residential living, assisted living, and skilled nursing facilities located at 511 Gibson Ave., Pacific Grove, CA 93950(Forest Hill” and, together with Lake Park, the “Facilities”); and
  • Pacific Grove Parking Garage located at 26 Sinex Ave., Pacific Grove, CA 93950 (the “PG Parking Garage”).

The sale assets includes: (i) the Real Property Assets, (ii) Lake Park and Forest Hill, (iii) the Fixtures, Furniture and Equipment, (iv) the Inventory, (v) all rights to all transferable licenses, warranties and permits with respect to the Facilities, to the extent and only to the extent that the same are transferable in accordance with the terms thereof and in accordance with applicable laws, (vi) all Resident files and records (subject to Resident confidentiality rights and privileges), and all books and records of the Facilities existing and physically located at the Facilities or other off-site location as of the Effective Date, (vii) all of Seller’s right, title and interest in, to and under all Assumed Contracts, as hereinafter defined, (viii) all rights to telephone numbers used solely by the Facilities, and (ix) all other assets, rights, and property owned by Seller and pertaining solely to and physically located at the Facilities.
