Assets of Health and Fitness Clubs Business

Sale of assets of Body Transit, Inc. D/B/A Rascals Fitness, located in the Suburbia Shopping Center with an address of 54-58 Glocker Way, North Coventry Township, Pottstown, Pennsylvania (the “North Coventry Location”). The sale assets including all of Seller's right, title and interest in and to all of the assets used in, related to or arising from the conduct of the North Coventry Business including, without limitation:

• All fixtures, equipment, furniture, supplies, supplements, phone number and other tangible personal property;
• All customer lists, complete & accurate list of all copies of customer contracts, sales data, catalogs, brochures, suppliers' names, vendors' names, mailing lists, art work, photographs and advertising material, whether in electronic form or otherwise to the extent not deemed protected under applicable privacy law;
• All of Seller's interest in governmental permits, licenses, registrations, orders and approvals to the extent such permits, licenses, registrations, orders and approvals are transferable to Buyer;
• The existing telephone numbers;
• New lease between Buyer and Suburbia Shopping Center, LLC; and
• Any and all other tangible and intangible assets of the North Coventry Business including, without limitation, goodwill and going concern value of the North Coventry Business.
