Assets of Grocery Stores Business

Sale of certain assets used by the Buehler, Inc. and Buehler, LLC ("Seller"), in the operation of six Save-A-Lot branded grocery stores in Indiana and Kentucky, which stores are located at New Albany, IN, Salem, IN, North Vernon, IN, Washington, IN, Columbus, IN, Louisville, KY (collectively, the “Stores” and each individually, a “Store”). The sale assets more described as below:

• Assignment to the Buyer of the Assigned Contracts (defined below) including the real property lease for each Grocery Store;
• To the extent assignable under applicable law, assignment to the Buyer of all licenses and permits necessary for the operation of the Business at each Grocery Store;
• All inventory, supplies, equipment and other tangible personal property located at each Grocery Store; and
• Any other assets deemed by the Buyer to be necessary to the operation of the Business at the Grocery Stores.
