Assets of Georgia Restaurant Business

Sale of assets of Paladin Hospitality, LLC ("Seller") owns and operates the Pinewood restaurant located at 254 W. Ponce De Leon Ave, Decatur, Georgia. The sale assets more described as below:

• All personal property owned or leased by the Seller, including all inventory, supplies, equipment, furniture and fixtures;
• All rights and interests of Seller under all contracts and agreements relating solely to the Purchased Assets (collectively, the "Assigned Contracts"), listed on Schedule 2(a)(ii) hereto, including without limitation, the Real Estate Lease;
• All tangible and intangible intellectual property (including but not limited to patents, trade secrets, trademarks, tradenames logos, trade dress, whether registered or unregistered) owned or licensed by Seller and/or related to the Purchased Assets;
• All books and records related to the Purchased Assets; and
• Internet domain names, confidential information, formulas, designs, devices, inventions, menus, recipe books and cards, and any and all other tangible and non-tangible items necessary to operate the Restaurant, including all permits and licenses including, all licenses required for the sale of alcohol.
