Assets of Florida Plumbing Equipment Wholesaler

Sale of assets of Sunex International, Inc. which includes:

1. all unsold inventory of Seller, including without limitation the inventory listed on Exhibit “A” attached hereto and incorporated herein by reference (the “Unsold Inventory”);
2. all tangible personal property, including, without limitation, all furniture, fixtures, and equipment, including, without limitation, the property listed on Exhibit “B” attached hereto and incorporated herein by reference (the “Tangible Personal Property”);
3. all intangible personal property, including, without limitation, permits, licenses, entitlements, intellectual property (i.e., domain names trademarks and copyrights) relating to the Seller and the marketing thereof, including, without limitation, the property listed on Exhibit “C” attached hereto and incorporated herein by reference (“Intangible Personal Property”); and
4. all right, title and interest of Seller under the leases and executory contracts designated by the bidder in accordance with Section 6 below (the “Section 365 Agreements”).
