Assets of Financing Solutions Business

Sale of substantially all of assets of Renovate America, Inc. and its seller affiliates (collectively, “Sellers”), which include certain assets (tangible or intangible) used in the operation of Seller’s business of providing consumer financing for home improvement projects, including specifically the business operated by Seller under the “BENJI” brand, including (i) all Assumed Contracts, (ii) all Transferred Intellectual Property, (iii) all Avoidance Actions against any of Seller’s ordinary course vendors or contract counterparties that are related in any way to the Purchased Assets, the Assumed Contracts or the Assumed Liabilities, (iv) the Purchased Loans, (v) derivative and other claims against Seller’s directors and officers.
