Description
Sale of assets of the Worley & Obetz, Inc., et al., which includes:
- The Wo-Go and bulk underground storage facility located at 746 Rothsville Road, Lititz, PA 17543 (the "Lititz Property");
- The Wo-Go and bulk underground storage facility located at 30 Orchard Road, Mount Joy, PA 17522 (the "Mount Jov Property");
- Any leasehold interest in connection with the lease of the Pacific Pride property located at 101 East Cherry Street, Elizabethtown, PA 17022 (the "Elizabethtown Property");
- A right of first offer and right of first refusal to purchase the property located at 202 Greenfield Road, Lancaster, PA 17601 (the "Greenfield Property"), provided, however, that Purchaser's oiler for the Greenfield Property shall be at least seven percent (7%) more than the offer of a third party, and provided further that such right shall only vest if Seller receives ownership of the Greenfield Property;
- All inventory located on the Acquired Owned Property, including, but not limited to, propane, gasoline, kerosene, diescl, dicscl exhaust fluid, retail and wholesale inventory for sale or distribution of any kind;
- All inventory located on the Acquired Owned Property, including, but not limited to, propane, gasoline, kerosene, diesel, dicscl exhaust fluid, retail and wholesale inventory for sale or distribution of any kind;
- Fifty percent (50%) of any accounts receivables that are actually collected after the Closing Date, which arose prior to the Closing Date in connection with the Real Estate, as further set forth in Section 2.8;
- That certain 2014 Ram Promaster, VIN No. 3C6TRVCD6EH123628, and that certain 2002 Dodge Van, VIN No. 2B7JB21Y92K110755;
- All tangible personal property located on the Real Estate that is owned by Seller;
- All deposit or prepaid charges and expenses paid exclusively in connection with or relating exclusively to any Purchased Asset;
- The Acquired Owned Real Property fueling station customer lists;
- The "WoGo" trade name;
- The fueling pumps located at the Elizabethtown Property;
- The billing software and the Fleet Core software for the card lock business associated with the Acquired Owned Real Property;
- The customer agreements associated with the fueling station business, to the extent available; and
- All intangible personal property used in the fueling station business, including but not limited to, telephone numbers, websites, and use of the names "Pacific Pride" and "Wo-Go".
