Assets of Electric Vehicle Manufacturer Business

Sale of substantially all of assets of the GreenTech Automotive, Inc., et al., which includes:

• The seller's minority interest in Jiangsu Saleen Automotive Technologies, Co., Ltd. (the “JSAT Interest”);
• Assets including intellectual property Assets, relating to an electric vehicle known as the “My Car”(the “MyCar Assets”);
• Real property consisting of approximately 99 acres located in Robinsonville, Tunica County, Mississippi, improved by a manufacturing facility and related equipment located thereon (collectively, the “Mississippi Parcel”); and
• Certain litigation claims against: (i) Plastech Holding Corp., Susman Godfrey LLP and/or their respective agents, and (ii) Gilbert Villareal, VL Automotive and affiliated persons (collectively, the “Claims”).
