Assets of Death Care Industry and Performs Funeral Services Business

Auction Sale of substantially all of the assets of Work & Son, Inc. ("Seller"), which include the following:

• The Royal Palm North Cemetery and Funeral Home, Sarasota Memorial Cemetery, the Royal Palm South Cemetery. The legal description of those parcels of land are more specifically described in Schedule 1.1.1 from Page No. 32-34 on the attached PDF (collectively the “Land”), together with all and singular the rights, benefits, privileges, easements, tenements, hereditaments, and appurtenances thereon or in anywise appertaining to the Land;
• Any buildings (collectively the “Building”), improvements, fixtures and parking facilities now or hereafter located on the Land or any portion thereof, including, without limitation, surface parking areas, if any (the Building and any and all other improvements located on the Land are hereinafter referred to collectively as the “Improvements”);
• Any fixtures, furniture, inventory, tangible personal property, machinery, apparatus, supplies, and equipment currently used in the operation and/or management of the Business located on the Land and the Improvements (“Personal Property); and
• Any of seller's rights, title, and interest in and to any other intangible personal property currently used in the operation and/or management of the Business located on the Land and the Improvements, if any (collectively the “Intangible Personal Property”), including, without limitation the following, if any: (a) any name used to designate the Property or any part thereof, any goodwill associated with any such name, and all copyrights, trademarks, service marks and other marks and trade or business names relating to the ownership, use, operation and maintenance of the Property and (b) any consents, authorizations, variances or waivers, licenses, certificates of occupancy, permits and approvals from any governmental or quasi-governmental agency, department, board, commission, bureau or other entity or instrumentality with respect to the Property.
