Assets of Custom Design, Engineering and Manufacturing Firm Business

Sale of substantially all of assets of the STAK Design, Inc., which includes:

• All of the tangible personal property of Seller used in connection with (he Business, including all computers, computer software, tools, machinery, equipment, supplies and raw materials, including the tangible personal property listed in Schedule 1.2(a);
• All customer contracts which have not been fully completed and delivered as of the Closing, including the contracts listed on Schedule 1.2(b) (the "Assumed Contracts");
• All deposits and unearned pre-payments on the Assumed Contracts;
• All accounts receivable related to the Assumed Contracts;
• All intellectual property, including trademarks, trade names, copyrights, patents, inventions, know-how and trade secrets;
• The customer list and all information included therein;
• All intangible property and goodwill associated with the Business;
• All inventory and work-in-process of the Business relating to or usable in the performance of the Assumed Contracts;
• All rights, claims, causes of action and suits that Seller may have against third parties relating to any of the foregoing or relating to the enforcement of post-termination covenants and obligations of employees and independent contractors;
• All financial records, files, books, records, ledgers, documents, data, plans, proposals, manuals, warranties, books and other documentation relating to any of the foregoing;
• All of Seller's rights in and to the trade names, "STAK," "STAK Design" and all derivatives thereof; and
• All creative materials, advertising and promotional materials, studies, reports and other printed or written materials.
