Sale of assets of Purdue Pharma L.P. Which includes:

1. the Real Property;
2. inventory (other than inventory relating to Oxycodone);
3. machinery and equipment at the Real Property;
4. supplies at the Real Property;
5. the Assigned Contracts and the rights thereunder;
6. information technology assets used at the Real Property in the operation of the Business;
7. Copyrights and Know-How (other than Oxycodone IP) for the manufacture of APIs at the Real Property;
8. certain Patents;
9. Copyrights and Know-How for the manufacture of certain APIs in development;
10. certain Permits and pending applications therefor;
11. all vehicles at the Real Property;
12. all Books and Records (other than Retained Books and Records);
13. all employment-related agreements with Transferred Employees;
14. all causes of action related to the Business, the Purchased Assets or the Assumed Liabilities (other than certain retained causes of Action);
15. all avoidance actions against trade creditors with whom the Purchaser continues to conduct business or Transferred Employees;
16. the drug master files and batch records for the API and Purchased Products; and
17. all goodwill associated with any of the foregoing.
