Sale of substantially all of assets of assets of Rock & Brews LLC (the “Seller”), including all right, title, and interest in, to and under all of the assets, properties and rights of every kind and nature, whether real, personal or mixed, tangible or intangible (including goodwill), wherever located (other than the Excluded Property), which relate or are used in the connection with the Restaurant, including: (i) the tenant’s rights under the Leases; (ii) all FF&E; (iii) all Inventory; (iv) all Permits; (v) all prepaid expenses, credits, advance payments, claims, security refunds, rights of recovery, rights of set-off, rights of recoupment, deposits, charges, rebates, sums and fees, to the extent related to the Assets; (vi) all accounts receivable; (vii) all benefits from insurance policies, including rights to assert claims and to proceeds, to the extent related to the Assets; (viii) the Assigned Contracts; (ix) all books and records excluding employee records, corporate minute books, stock books or similar corporate records; (x) Intangibles; and (xi) all claims creditors, refunds, abatements, allocations, causes of action, claims for relief, choses in action, rights of recovery, rights of set-off, rights of indemnity, contribution or recoupment, counter-claims, cross-claims and defenses of the seller to the extent related to any of the Assets or Assigned Contracts.
