Assets of California Financial Services Provider

Sale of assets of Aura Financial Corporation which includes:

1. all customer loan metadata, including application, origination, servicing data, on an anonymized basis (excluding any of customers’ Personal Information), provided, however, that Purchaser agrees continue the applicable privacy policy of the Initial Aura Sellers;
2. all codebase and associated rights related to the Sellers’ Business;
3. all Intellectual Property used and maintained by the Initial Aura including the name “Aura Financial”;
4. all Intellectual Property rights in and to the Initial Aura Sellers’ models, credit policies, and decisioning logic;
5. all documentation and access rights of the Initial Aura Sellers the foregoing;
6. all of the Initial Aura Sellers’ patents, Trademarks, tradenames, technical processes, knowhow or other Intellectual Property associated the Initial Aura Sellers’ business including without limitation customer lists, records, goodwill and other intangible assets;
7. all causes of action, including, without limitation, bankruptcy action primarily related to the Purchased Assets, against key employees, customers and key vendors;
8. royalties payable under Bankruptcy Code section 365(n) related rejection of licenses, if any, of purchased Intellectual Property;
9. all employee confidentiality, non-compete or assignment of inventions agreements; and
10. all domain names and websites.
