Assets of Aviation Services Company

Sale of assets of All In Jets, LLC which includes:

1. All licenses of the Seller, including but not limited to US FAA Part 135 Certificate and the DOT AOC Certificate;
2. Seller's personal property, tangible or intangible, except those items specifically excluded by the APA as "Excluded Assets";
3. all intellectual property of the Seller, including but not limited to trademarks and tradenames, software or other programs, including but not limited to the "Jet Insight Software," and business records; and
4. all of the Seller's records related to the Purchased Assets, whether in hard copy or computer format other than personnel records which the Seller is required by applicable law to retain, other than bank records or personnel records
