(a) The two (2) parcels of land (collectively, the "Land") being described more fully as:
TRACT I:
All of that certain parcel of land situate at Makapala and Niulii, District of North Kohala, Island and County of Hawaii, State of Hawaii, described as follows:
Lot 53-A, area 485.000 acres (less Exclusion 1 containing 7.200 acres, net area 477.800acres, more or less), as shown on Map 17, filed in the office of the Assistant Registrar of the Land Court of the State of Hawaii with Land Court Application No. 1332 of the Kohala Sugar Company.
Together with access to a public highway across Easements 9, 10, and 21, Map 17, as set forth by Land Court Order No. 128144, filed June 26, 1997.
Being land(s) described in Transfer Certificate of Title No. 497,946 issued to PACIFIC PLAINS COMPANY, L.L.C., a Texas limited liability company.
TRACT II:
All of that certain parcel of land (being all of the land(s) described in and covered by Royal Patent Number 7734, Land Commission Award Number 5368, Apana 6 to Akahi) situate, lying and being at Makapala, North Kohala, Island and County of Hawaii, State of Hawaii, being EXCLUSION 1, within Lot 3 of Land Court Application No. 1332 bearing Tax Key designation (3) 5-2-005-001, and containing an area of 7.200 acres, more or less;
together with all interest, if any, of Seller in strips or gores, if any, between the Land and abutting properties and any land lying, in or under the bed of any street, alley, road or right-of-way, opened or proposed, abutting or adjacent to the Land;
(b) any buildings, structures and improvements on the Land
(c) all rights, titles and interests of Seller in and to any oil, gas, hydrocarbons and all other minerals in, on, or under, or that may be produced from the Land.
(d) all of Seller's interest in leases, subleases and rental agreements (written or verbal, now or hereafter in effect, if any) that grant a possessory interest in or that otherwise grant rights with regard to use of all or any portion of the Land;
(e) all rights, titles and interests of Seller in and to any easements, rights-of-way, rights of ingress or egress or other interests in, on, or to, any land, highway, street, road or avenue, open or proposed, in, on, across, in front of, abutting, or adjoining the Land;
(f) all tangible personal property and fixtures of any kind attached to or used in connection with the ownership, maintenance, use and service or operation of the Land or Improvements, if any; and
(g) all other rights, privileges and appurtenances owned by Seller and in any way related to the property interests
