Real Property and the Development Documents for Sale

Sale of Real Property and the Development Documents describe as:

• Real Property: certain parcels of land located in Carolina, Puerto Rico, and consisting of approximately 3.0 acres (the "Land"), together with (i) all benefits, easements, rights of way, privileges, servitudes, tenements, hereditaments, appurtenances and other rights, of the Sellers pertaining to the Land; and (ii) all buildings, structures, fixtures, walls, fences, landscaping and other improvements situated on or affixed or appurtenant to the Land, including, without limitation, (a) the 13 floor tower consisting of approximately 536,000 gross square feet (the "Tower", together with the Land, the "Real Property")
• Development Documents: all available plans and specifications relating to the completion of the Tower (the "Tower Specifications") and to the development of a proposed commercial and retail facility (the "Retail Facility Proposal") and a proposed parking facility (the "Parking Facility Proposal", together with the Tower Specifications and the Retail Facility Proposal, the "Development Proposals");
