Real Properties, Leases and Related Assets in New Hampshire

Sale of Real Properties, Leasehold Interest, Leases and Personal property located in New Hampshire, described as below:

(i) Real Properties: Webster College was the sole owner of the following real estate located in Hillsborough County (New Hampshire), commonly known as follows:

• 20 University Drive, Nashua, NH 03063 – Tax Lot F-185, Real property and improvements;
• [no #] University Drive, Nashua, NH 03063 – Tax Lot F-933, Real property and improvements;
• 137 Pine Hill Road, Nashua, NH 03063 – Tax Lot F-169, Real property and improvements;
• 139 Pine Hill Road, Nashua, NH 03063 – Tax Lot F-37, Real property and improvements.

(ii) Real Estate & Leasehold Interest: Webster College was the sole owner of building and improvements subject to grounds leases for the following real estate located in Hillsborough County (New Hampshire), commonly known as follows:

• 79 Perimeter Road, Nashua, NH 03063 – Tax Lot E-1447: The entire right, title and interest in the building and improvements including the structure known as the Tamposi Aviation Center and Control Tower, and the sub-leasehold in the land at 79 Perimeter Road known as Tax Lot E-1447, the title and sub-leasehold arising under the Lease of Nashua Airport Authority to Daniel Webster College dated August 13, 1971, notice of which is at Notice of (Sub)Lease recorded March 8, 1994, at Book 5529, Page 707; as amended by Amendment to Notice of (Sub)Lease recorded at 8093-1117, both recorded in the Hillsborough County (New Hampshire) Recorder’s Office;
• 85 Perimeter Road, Nashua, NH 03063 – Tax Lot E-1451: The entire right, title and interest in the building, and the sub-leasehold interest in the land at 85 Perimeter Road known as Tax Lot E-1451, said sub-leasehold interest arising under: (i) The Lease of Nashua Airport Authority to Kenneth F. McLaughlin and Mary B. McLaughlin dated May 11, 1987, recorded at Book 4143, Page 109, in the Hillsborough County (New Hampshire) Recorder’s Office; (ii) Which was assigned and assumed under an Assignment and Assumption Agreement dated December 3, 2003, by and between Kenneth F. McLaughlin and Mary B. McLaughlin (Assignor) and Daniel Webster College (Assignee) recorded at Book 7131, Page 487 and at Book 7149, Page 1953, in the Hillsborough County (New Hampshire) Recorder’s Office; and (iii) As affected by Certificate of Nashua Airport Authority relative to Vote of February 20, 2007, granting Daniel Webster College a 20 year extension to Lease for E-1451, recorded at Book 7817, Page 1777, in the Hillsborough County (New Hampshire) Recorder’s Office.

(iii) Leases: Webster College was a lessee under the following leases:

• Tract Eight] leased land at no# Perimeter Road – Tax Lot E-1484: The sub-leasehold in the land and any improvements thereon in [no#] Perimeter Road known as Tax Lot E-1484, being a sub-leasehold interest arising under a Lease of Nashua Airport Authority to Daniel Webster College, notice of which is recorded at Book 7933, Page 707, in the Hillsborough County (New Hampshire) Recorder’s Office;
• Tract Nine] leased land at 77 Perimeter Road – Tax Lot E-1446: The sub-leasehold interest in the land and any improvements thereon at 77 Perimeter Road known as Tax Lot E-1446, being a sub-leasehold interest arising under a Lease of Nashua Airport Authority to Daniel Webster college, Notice of which is recorded at Book 7933, Page 709, in the Hillsborough County (New Hampshire) Recorder’s Office.

(iv) Personal property: Webster College owned certain personal property located on each parcel of Real Estate, Real Estate & Leasehold Interest and the specific property subject to the Leases. The personal property located on each parcel includes existing furniture, equipment, permanent improvements and fixtures (the “Personal Property”). The Personal Property excludes educational computer towers, oscilloscopes, vending machines and leased copiers and all other personal property that is subject of a lease and/or owned by third parties.
