Dam Property in Maine

Sale of Rights, title, and interests in and relating to that certain real property consisting of a dam located at the outlet of Clary Lake on or about State Route 218 in the State of Maine, County of Lincoln, Town of Whitefield. The property to be conveyed includes property presently titled in the name of Pleasant Pond Mill, LLC (“PPM”), an entity wholly owned by Seller, as well as certain mortgage rights in and relating to that property.

The Real Property described as follows: “.13 acres land located and stacked granite and laid fieldsatone [sic] structure at 105 Mills Road, Whitefield Maine; subject to easement for building owner, Aquafortis Assoc.”

Dam: The “Dam” shall include any and all of Debtor’s, PPM’s, and/or the estate’s rights, title, interests in and to the entirety of the Dam itself and the Dam property, all mill privilege and flowage rights relating and with respect to the Dam and the Dam real property, and any improvements, buildings, structures, fixtures (including a certain steel-hand wheel for operating the Dam), real property, and other assets forming a part of or necessary or convenient for the use, operation, and/or maintenance of the Dam site. The assets to be conveyed by the Trustee shall also include all rights related to the Dam including, without limitation, assets acquired after the petition date and prior to closing relating to the Dam, including those rights acquired by the Trustee at Closing from Medius in connection with Closing-related payments to Medius contemplated hereby.
