Commercial Property and Related Assets in Oregon

Sale of real and personal property, and more described as below:

• The Land: The real property consisting of approximately 285.5 acres located in Yamhill County, Oregon, and more particularly described in Exhibit A on the attached PDF, any and all water rights attached thereto, and all improvements thereon, together with all and singular the rights and appurtenances pertaining to the property, including but not limited to any and all water rights associated with Water Right Certificate 22019, Water Right Certificate 57121 and Water Right Certificate 27910, and all right, title and interest of Sellers in and to parking, adjacent streets, easements, and rights of way (collectively the “Land”). The Land consists of five separate parcels of real property, which include, among other things, parcels containing (1) Wings & Waves Waterpark (the “Waterpark”), (2) a facility operated by the Museum known as the Space Building, (3) a building used by TFEC, (4) a vineyard, and (5) farmland; and
• The Personal Property: All personal property, including all aircraft, intellectual property rights related to the Land (including but not limited to the assumed business name “Wings & Waves Waterpark”, and any and all domain names, websites and trademark/tradename registrations associated with “Wings & Waves Waterpark”), exhibits, intangibles, building systems (including all existing security systems and CCTV), equipment, permits, and contracts rights.
