Sale of Commercial Property and Related Assets located in St. Mary’s County, Maryland. The property has 5 buildings, being 13,160 sq. ft. office/warehouse/apartments building and four apartment buildings (13 units and 12,199 sq. ft.) on 4.47 acres of commercial land. The property also includes:

• Land. The Property: 22100 Point Lookout Road, Leonardtown, MD consisting of 5 permanent structures on approximately 4.47 acres. Also known as Tax ID No. 02- 21730 in St. Mary’s County, Maryland.
• Improvements. The buildings and other improvements located on the Land, including all fixtures, electrical, heating, ventilating, air conditioning, plumbing, security, fire suppression and other mechanical systems (the “Improvements“).
• Appurtenances. All easements, rights of way, licenses, privileges, hereditaments and appurtenances, if any, belonging to or inuring to the benefit of the Land, and all right, title and interest of Seller in and to any land lying in the bed of any highway, street, road or avenue, opened or proposed, in front of or abutting or adjoining the Land (collectively, the “Appurtenances“). The Land, Improvements and Appurtenances are referred to collectively as the “Premises“.
• Leases. Seller’s interest in the Leases, all guaranties applicable to the Leases, and all lease files, security deposits, advance rentals, and like payments, if any, held by Seller in connection with the Leases. At closing, Seller will credit to Purchaser a maximum of Twelve Thousand Nine Hundred Seventeen Dollars ($12,917.00) from the operating funds of the Debtor, to the extent available, pursuant to the Order of the U.S. Bankruptcy Court dated April 16, 2018, representing security deposit funds which the Debtor failed to maintain in a separate escrow account or accounts. No further security deposit credit will be provided by Seller to Purchaser.
• Personal Property. All tangible personal property owned by Seller and used in connection with the ownership, operation, maintenance, use or occupancy of the Premises (the “Personal Property“), including, without limitation, (a) all furniture, furnishings, machinery, equipment, materials and supplies owned by Seller and located at or appurtenant to the Premises;
• Intangibles. All intangible personal property owned by Seller and used in connection with the ownership, operation, maintenance, use or occupancy of the Premises (the “Intangibles“), including, but not limited to: (1.) all licenses, authorizations, approvals, permits and certificates of occupancy issued by any Governmental Authority and relating to the ownership, use, operation or occupancy of the Premises (the “Permits“); (2.) all currently effective warranties and guaranties given by any contractor, supplier or manufacturer of any Personal Property or Improvements, or of any work performed on any Personal Property or Improvements (the “Warranties“).
