Ownership Sale of New York Medical Center

Sale of Long Beach Medical Center including all of the real property and substantially all of the operating assets of both the LBMC campus and Komanoff. The Sale Assets include:
(i) All Owned Real Property of Medical Center, (ii) Real Property Leases, (iii) Furniture, Equipment and Inventory, (iv) all Assigned Contracts, (v) Sellers' Rights of set-off under such Assigned Contracts, (vi) Medicare and Medicaid provider agreements, (vii) all Intellectual Property (viii) all rights in and to the domain names of LBMC and LBMNH, (ix) all future FEMA claims, (x) Any Prepaid Deposits, (xi) all insurance claims with respect to the Real Property, (xii) the going concern value and goodwill of the Nursing Home, etc.
