Stock, FF&E and Intellectual Property for Sale

Sale of Stock, Furniture, fixtures and equipment and Intellectual Property, described as below:

• 250,000 shares of stock in Coco Products, as well as the Estate’s interest in any other affiliated entity, including Coco Absorb, LLC and CS Products, LLC;
• All patents or patent applications owned or filed by the Debtors, including, but not limited to, the following: i. “Coco Absorb,” filed 10/20/2014; APP/REG No. 86/428,249, ii. “Coco Dry,” filed 10/20/2014; APP/REG No. 86/428,259, iii. “Coco Dry the Secret’s in the HSUT (and Design)”, filed 12/16/2014; APP/REG No. 4,655,198, iv. “Coco Safe,” filed 10/20/2014; APP/REG No. 86/428,270, v. “Cocoabsorb the Green Floor Clean (and Design)”, filed 10/06/2011; APP/REG No. 4,065,867; and 
• Any and all interest of the Estate in the “Assets to be Transferred” as described in paragraph 2.1 of the Asset Purchase Agreement, dated June 26, 2014 (a copy of which is attached as Exhibit B to this Motion), by and among Nice Guys Investment Group, LLC and CS Products, CocoAbsorb, LLC, VC Products, LLC, CS Products CA, Inc., CS Products, Inc., and Robert Toby Wilson, including: i. All Trademarks, Domain Names, together with all translations, adaptations, derivations, and combinations thereof, including all goodwill associated therewith, and all applications, registrations, and renewals therewith, ii. All Copyrights, iii. All Trade Secrets; Know-How and confidential business information (including house file databases, mailing lists, customer and supplier list, pricing and cost information, business and marketing plans and proposals), iv. All advertising and promotional materials, v. All rights in internet websites and their content, vi. All contracts with Sellers’ customers related to providing services to Sellers’ customers, vii. All accounts, viii. All inventory, ix. Furniture, fixtures and equipment used in the Business.
