Ownership Interests in Two Companies

Sale of Ownership Interests in Two Companies describe as below:

• Ultra Energy Resources, LLC: The Seller owns 36% of the membership interest in Ultra (“Ultra Membership Interest”). Ultra, in turn, owns 100% of the membership interest in Carbon Fuels Properties, LLC (“CFP”). CFP is the fee simple owner of approximately 7,400 acres of real property, including mineral rights, spanning West Virginia and Kentucky on which metallurgical coal is mined. CFP has received periodic royalties from the mining operations, which flow through to Ultra and, ultimately, to Ultra’s members.
• Compressus Stock: The Seller owns the following certificated shares of Compressus Stock. On information and belief, the shares referenced herein were subject to a reverse 3:1 stock split by Compressus in 2010: (a) 200,000 shares of Series A Convertible Preferred Stock; (b) 80,000 shares of Series B Convertible Preferred Stock; (c) 670,000 shares of Series C Preferred Stock; (d) 10,000 shares of Series C Preferred Stock; (e) 170,000 shares of Series C Preferred Stock; (f) 115,000 shares of Series D Preferred Stock
