Ownership Interests in Six Companies

Sale of the seller's partnership and limited liability company interests in (a) Hale Hana, LP (address of 74-5583 Luhia Street, Kailua Kona, HI) (“Hale Hana”); (b) Konani Partners, LP (address of 74-5590 Eho Street, Lehui Center, Kailua Kona, HI 96740) (“Konani”); (c) Makala Partners, LP (which owns a 25,000 sq ft commercial building at Powers and Galley in Colorado Springs) (“Makala”); and (d) Manimark Associates, LP (which owns a 22,000 sq ft commercial building at 44850 North I-94 Service Drive, Belleville, Michigan) (“Manimark”), and as applicable, the estate’s interests in City Center, LLC and High Altitude Holdings, LLC.

The sellers disclosed a 26.8356% limited partnership interest in Hale Hana, a 66.915% limited partnership interest in Konani, a 47.86% limited partnership interest in Makala, and a 14.3% limited partnership interest in Manimark. See, e.g., Dkt. #117. The sellers nevertheless have recently asserted that their interests in Manimark total 17.147%, that their interests in Makala total 50.86%; that their interests in Konani total 73.775%; and that their interests in Hale Hana total 27.5856%. The sellers limited partnership interests are referred to collectively as the “Partnership Interests.” The Partnerships own and manage commercial real property.

Three of the Partnerships are managed by a general partner, City Center, LLC, which in turn is a limited liability company wholly owned by the sellers. One of the Partnerships – Manimark – has a general partner of High Altitude Holdings, LLC, which the sellers owned a 25% interest.
