Ownership Interest in Real Estate Business

Sale of indirect equity interest in an entity known as Second Avenue and 30th Street LLC (the "Company"). As more fully described herein, as of the Petition Date, the Seller owned 100% of Metropolitan Housing LLC, which in turn owned 20% of MDP III. The other 80% of MDP III is owned by Metropolitan Investors — 30th Street LLC, which is an entity owned by Metropolitan Investors LLC (collectively, "Metropolitan Investors"),a third party and creditor in the Seller's case. MDP III itself owns an 8.7%1 limited liability company interest (the "Equity Interest")in the Company, which, in turn, owns a fee simple interest in a building located at 250 East 30th Street in Manhattan.
