Sale of Assets generally consist of all right, title and interest in and to any and all (a) limited liability company membership interests and other indicia of ownership of or in the entities listed in Schedule 2.1 (collectively, the “Ownership Entities”) and related to the various real properties referred to on Schedule 3 (collectively, the “TIC Properties” and each a “TIC Property”), and all contracts and agreements relating thereto, including limited liability company and operating agreements; and (b) deferred acquisition fees, disposition fees, credit enhancement fees, loan fees, commissions and any other amounts owed to or receivable by the Liquidating Trustee or the Ownership Entities (or their subsidiaries) as of or after the Closing Date and related to the TIC Properties, and all contracts and agreements relating thereto.

The Assets include fees receivable and indirect minority ownership interests related to over forty (40) separate underlying TIC Properties, with over forty (40) separate groups of unaffiliated tenant-in-common owners, and over forty (40) separate Loans maturing at different times over the remaining anticipated duration of the Liquidating Trust.
