Sale of the seller's 100% of the membership interests in the seller's subsidiary and certain other assets. Seller has formed a Texas limited liability company called “TAG Mobile Bankruptcy Sale Entity LLC” (the “Subsidiary”) for that purpose.

The sale assets also include the following assets to the Subsidiary: (a) TAG’s Lifeline customers; (b) TAG’s Federal Communications Commission (“FCC”) eligible telecommunications carrier (“ETC”) designation; (c) TAG’s approved FCC compliance plan for the Lifeline Program; (d) 19 state1 ETC designations for the Lifeline Program; (e) 19 state wireless registrations; and (f) domestic and international “section 214” authorizations given by the FCC (collectively, the “Regulated Assets”). TAG also has unregulated assets that it uses in its business, including its name, assumed name, fluctuating phone inventory, furniture, computer equipment, software, programs, subroutines, and server, an office lease, its list of clients, customers, and subscribers, and other contracts (collectively, the “Other Assets”).
