Sale of a fifty-five percent (55%) interest (the "Majority Interest") in Carolina Bedding Direct, LLC, a Florida limited liability company, d/b/a Mattress by Appointment, LLC ("CBD") and the assignment all of its rights in and under the Operating Agreement.
