Litigation Claims for Sale

Sale of litigation claims which consists of two lawsuits, which includes:

• A dispute arose regarding whether all accounts receivable were turned over to Jack. Jack, Scott Owen and Catherine J. Santone, Co-Trustees, Jack M. Santone and Rebecca Santone, as Trustees, and Juma, LLC, (“Santone Parties”) filed suit against Amthor in California Superior Court, County of San Diego, Case No. 37-2013-00061712-CU-BC-CTL seeking to recover approximately $40,000 of accounts receivable Jack alleged were due (the “Santone Action”).
• A dispute arose regarding the conveyance of an undivided 1/3 interest in the Property from the Santone Parties to Amthor. Amthor filed suit against the Santone Parties in California Superior Court, County of San Diego, Case No. 37-2013-0008992-CU-NC primarily seeking to have a 1/3 interest in the Property conveyed to Amthor, among other actions for damages (the “Amthor Action”).
