Intellectual Property of Retailing Business

Sale of Intellectual Property of hhgregg, Inc. and HHG Distributing LLC consists of trademarks, domain names, customer files, and related data, including, among other things, described as below:

• All unregistered, registered, and pending applications to register Copyrights listed in Schedule 1;
• All Domain Names listed in Schedule 1;
• All unregistered, registered and pending applications to register Trademarks listed in Schedule 1;
• All Customer Data;
• All Social Media Accounts; and
• To the extent legally transferable to Buyer, all rights of Seller or any Seller Affiliate to enforce any agreement with any employee, consultant or contractor of such Person involving the foregoing Acquired Intellectual Property.
