Sale of Intellectual Property of GUMP'S HOLDINGS, LLC, which include the following:

• All trademarks, service marks, trade names, service names, brand names, all trade dress rights, logos, internet domain names and corporate names and general intangibles of a like nature, together with the goodwill associated with any of the foregoing, and all applications, registrations and renewals thereof, including, without limitation, any marks and names, which sellers believe are owned by one or more of the sellers;
• IP addresses allocated to the sellers;
• Copyrights and copyright licenses;
• Any claims or causes of action arising out of or related to any infringement, dilution, misappropriation or other violation of any of the foregoing;
• To the extent maintained by the sellers and subject to compliance with the sellers published privacy policy, membership lists, gift registries, customer databases, including contact information and email addresses and other purchasing history and related information (the “Customer Data”); and
• Any property necessary for the transfer to and/or the operation by a buyer of any of the foregoing, subject to the sellers or Agent’s rights, as applicable, to continued use, if necessary.
