Sale of Intellectual Property of The Benefit Corner LLC, includes all of the intellectual property used in, related to or associated with the Benefit Corner franchise and the operation thereof, including, without limitation, all registered and unregistered trademarks, registered and unregistered service marks, brand names, corporate names (including, without limitation, the name “The Benefit Corner”), trade names, logos, slogans, trade dress, registered and unregistered copyrights, websites, applications, computer software, database rights and other data necessary to operate the technology, trade secrets, domain names, applications, inventions, discoveries, techniques, processes, proprietary data, designs, systems and programs, and copies of all books and records related to The Benefit Corner franchise and the operation thereof, including lists of insurance companies and related records, franchisee lists, customer lists, prospect lists, market information, rating information, form franchise disclosure documents and agreements, and other information related to The Benefit Corner franchise and the operation thereof (hereinafter collectively “the Property”).
